The role is for Kensington Corporate Management (S) Pte Ltd (Singapore)
[Your Role & Responsibilities]
- Support the HOD in overseeing the daily operations of corporate secretarial duties, including managing a diverse portfolio of corporate secretarial clients and ensuring the highest standards of professional service delivery.
- Lead, mentor, and develop a team of corporate secretarial professionals; review work for accuracy and compliance, and provide ongoing guidance whenever necessary.
- Attend board and shareholders’ meetings, prepare minutes, and coordinate internal/external meeting logistics.
- Organise and prepare board papers, resolutions, and other corporate documents.
- Ensure compliance with the Singapore Companies Act, ACRA requirements, AML/CFT regulations, and other statutory obligations.
- Oversee accurate and timely filings via BizFile, e?stamping, and related corporate secretarial software/portals.
- Work with external parties such as regulators, notaries, legal advisors, auditors, other service providers and collaborate with internal departments on governance, risk, and compliance matters.
- Identify and escalate potential risks to the HOD; recommend or implement appropriate corrective actions.
[What We Are Looking For]
[Education]
- ICSA qualified Chartered Secretary or equivalent professional certification.
[Skills & Experience]
- At least 7 years of relevant corporate secretarial experience in Singapore private companies.
- Prior experience in a corporate services provider, understanding of Trusts, dealing with offshore companies, or public unlisted entities will be an advantage.
- Strong understanding of the Singapore Companies Act, corporate governance practices, AML/CFT requirements, BizFile processes, and e?stamping.
- Proficient in MS Office; familiarity with corporate secretarial software (e.g., Viewpoint) is advantageous.
- Strong leadership, organisational, and client management skills.
- Excellent interpersonal and communication abilities.
